**JOB SUMMARY**:

- We are looking for an experienced Company Secretary who would be the manager’s and company executive’s right hand. As a Company Secretary, you will take on greater responsibilities, including overseeing corporate actions, preparing documents, keeping tracks of important plans, optimizing workflow procedures in the office. You are assisting colleagues and executives in planning and distributing information advising the board of directors.
- You will be hands-on and expected to ensure that the company complies with legal and regulatory requirements, as well as maintaining its high standards of corporate governance.

**JOB RESPONSIBILITIES**:

- Organizing and managing dates for board (and subcommittee) meetings and shareholder meetings of the entire Group.
- Preparing documentation, ensuring the same is set out to the board (and subcommittee) and shareholders in a timely manner, ahead of the meetings of the entire Group.
- Preparing meeting minutes of such board (and subcommittee) meetings and shareholder meetings of the entire Group.
- Preparing and maintaining ownership documents in compliance with Vietnamese laws (Shareholding Book/Share Certificate, etc.).
- Organizing and maintaining decisions/resolutions of the board and shareholder meetings.
- Preparing appointment decisions for management positions (director/general director, deputy director/general director, chief accountant) of the Group.
- Preparing and keeping track of a Corporate Action Calendar to track and process any corporate action plans, including but not limited to the renewal of key licenses, expiry and extension of key agreements/projects, and deadline of key payments of the Group.
- Preparing simple periodic reports to registry offices and local statistical agencies on the project execution, which may include capital, investment results, employees, payment to government budget, investment in R&D, environmental protection, and other professional indicators of investors and business organization’s executing investment projects under the applicable Law on Investment (if relevant).
- Preparing and lodging simple amendments concerning the registered details of the Group companies (e.g. address, capital etc.).

**EXPERIENCE & SKILLS REQUIREMENTS**:
**Qualifications and Skills Required**:

- Must have a university degree
- Minimum 5 years of experience working as an administrator or document controller, with a strong foundation in administration and legal document control
- Good reporting and researching skills
- Good English communication skills (verbal and written).

**Strongly Preferred**:

- Of the minimum 5 years of experience set out above, 2 years are spent working as a company secretary or assistant in a law firm
- Additional training or education in the legal field is an advantage
- Basic level of corporate governance administrative experience
