Legal Counsel

Job Purpose

Providing legal advice, legal services and managing the legal risk portfolio to protect the legitimate rights and interests of insurance company.

Lead and oversee the company's legal and compliance functions to ensure full adherence to laws, regulations, and corporate governance standards.

Provide strategic legal counsel to the Board and Executive Management to minimize legal exposure and support sustainable business growth. Develop and maintain a strong compliance culture, ensuring ethical conduct and regulatory alignment across all business operations

Key Accountabilities

1. LEGAL ACTIVITY MANAGEMENT

2. Maintain and ensure the provision of specific knowledge on operations, policies, strategies, and understanding of business operations from the perspective of internal managers and operators when providing legal advice

3. Monitor and manage legal consulting and support activities for BOD, BOM, BKS, KTT, business operations, financial and accounting operations, communications and operational personnel to ensure operations comply with legal regulations, balancing business performance and legal risk management

4. Monitor, manage, and resolve legal disputes and litigation procedures for the company when necessary

5. ENTERPRISE LEGAL RISK MANAGEMENTE

6. Establish and maintain compliance frameworks, policies, and monitoring mechanisms across all operations.

7. Ensure company activities fully comply with insurance regulations, anti-money laundering (AML), anti-bribery, and data privacy laws.

8. Oversee regulatory reporting and coordinate responses to inquiries or inspections from the Ministry of Finance (MOF), Insurance Supervisory Authority, and other regulators.

9. Lead compliance risk assessments, control testing, and internal awareness programs.

-Manage the compliance hotline, whistleblowing mechanism, and investigation processes.

• Manage the quality of legal advice of legal departments throughout the company

• Perform other tasks as required by the leadership within the scope of the Department's operations, ensuring full implementation of responsibilities and objectives in performing assigned tasks.

• COMPLIANCE MANAGEMENT

• Check and monitor compliance with legal regulations, the Company Charter, the Board of Directors' Decisions, regulations, business processes, risk management processes of the Company, of relevant departments and of insurance consultants in the Company.

• Identify, evaluate and control compliance with the Company's internal document system to ensure compliance with the law. Monitor the compliance system throughout the Company,

• Assess the impact of newly issued legal documents on the Company's internal document system.

• Ensure clear receipt and dissemination of external legal notices, including assessing the impact of regulations on the Company's related products and services. Ensure that affected units take subsequent actions in accordance with new legal regulations.

• Develop, implement and supervise legal work, professional ethics, codes of conduct according to work objectives, company responsibilities on the basis of compliance, application, and application of the law; handle situations, provide the most appropriate legal solutions in consulting, document control, complaint settlement, anti-money laundering and fraud prevention, insider trading and corruption.

• Check and supervise internal compliance for business activities; closely coordinate with other departments to ensure that the company's activities comply with policies, regulations, procedures, internal guidelines and relevant legal regulations, ensuring that activities do not affect the reputation and interests of the company.

• Train employees and related functional areas on relevant legal knowledge and knowledge of compliance, anti-money laundering and fraud prevention, insider trading and corruption

Qualifications/Experience

• University degree in law (degrees from leading universities in the field of law are preferred or; Law practice certificate, lawyer card or have a law training period in abroad)

• Additional training in compliance, governance, or risk management is preferred.

• Proficient in English and Vietnamese

Experience

• At least 12 years of legal work in the field of finance, banking, insurance, in charge of the specialized legal/ compliance field at leading law firms, with 06 years experiences in managerial position.

• Preferably from insurance, banking, financial services, or regulatory bodies.

• Proven record in managing legal risks, compliance programs, and regulatory engagements.

Expertise

• In-depth knowledge of Vietnamese laws related to insurance, corporate governance, and labor.

• Strong negotiation, analytical, and communication skills.

• Proven ability to influence stakeholders and lead cross-functional compliance initiatives.
