Legal Manager

VinEnergo is a member of Vingroup. With a mission to become a comprehensive green energy investor and developer contributing to Vietnam's Net Zero goals and strengthening the country's position on the global energy map, VinEnergo develops large-scale renewable energy projects applying advanced technologies and international standards. The company also researches and invests in Battery Energy Storage Systems (BESS) to provide comprehensive, clean, sustainable energy solutions for today and future generations.

The Legal Department Manager is responsible for overseeing and managing all legal activities of the company to ensure compliance with laws and regulations, while controlling legal risks across all investment, construction, operation, and business activities in the renewable energy sector (solar, wind, etc.).

Key Responsibilities:1. Legal Advisory & Investment/M&A Support

• Provide legal advice to the Leadership Team and departments on matters related to investment, construction, M&A, power plant operations, and commercial transactions.
• Support legal procedures for obtaining permits, approvals, and licenses related to energy projects.
• Conduct legal due diligence on target companies/projects.

2. Contract Drafting & Review

• Draft, review, and negotiate various types of contracts including EPC, O&M, PPA, land lease agreements, equipment procurement contracts, etc.
• Identify and control legal risks associated with contractual terms.

3. Compliance & Internal Legal Management

• Develop and update internal policies and procedures to ensure compliance with applicable laws and the company's sustainable development strategy.
• Monitor and supervise legal compliance across all company operations.
• Develop contract templates, internal regulations, and operational procedures to ensure legal compliance.

4. Dispute Resolution & Claims Handling

• Manage and store legal documentation and records.
• Represent or coordinate with external counsel in handling disputes, litigation, or arbitration (if any).
• Advise on resolving issues arising with partners, authorities, or third parties.

5. Legal Team Management

• Assign tasks, supervise, and guide legal officers.
• Train and enhance the professional capabilities of the legal team.
• Perform other tasks as required by the Leadership Team.

Qualifications

• Bachelor's degree or higher in Law.

1. Experience

• Minimum
  7 years of experience
  in corporate legal practice, including
  at least 3 years in a legal managerial role
  or equivalent.
• Prefer candidates with experience in:
• Renewable energy,
• Investment–construction,
• Industrial real estate,
• International law firms or legal consultancy.
• Direct experience in:
• (i) Negotiating and drafting complex contracts (EPC, PPA, joint investment agreements, etc.);
• (ii) Handling legal procedures for investment projects, especially in the energy sector;
• (iii) Managing civil/commercial disputes and working with government authorities.

2. Professional Knowledge

• Strong understanding of Vietnamese laws in:
• Investment, land, construction, enterprise, commerce, energy, environment.
• Knowledge of licensing procedures, project legal due diligence, and regulations specific to the power sector.
• Ability to develop internal policies and legal frameworks aligned with company strategy.
• High commitment, practical problem-solving skills, and the ability to handle complex, unprecedented legal matters.
• Strong integrity and decisiveness under high-pressure situations.
