**1. Governance support & Meeting facilitation**
- Plan and organize Annual General Meetings (AGMs) and Board of Directors (BOD) meetings.
- Prepare and distribute agendas, meeting materials, and resolutions.
- Coordinate logistics with Investor Relations (IR) and the Corporate Branding & Communications (CBC) teams.
- Ensure compliance with public disclosure requirements following each meeting.

**2. Regulatory Liaison & Compliance**
- Act as the primary liaison with the State Securities Commission (SSC), Hanoi Stock Exchange (HNX), and Vietnam Securities Depository (VSD) to address all regulatory matters.
- Prepare and submit governance and operational reports, including explanatory notes and regulatory disclosures.

**3. ESOP Management**
- Oversee early registration processes for the Employee Stock Ownership Plan (ESOP), including both local and expatriate employees.
- Monitor and provide monthly updates and reports on ESOP status.

**4. Financial reporting coordination**
- Coordinate with Finance (FA), CBC and IR teams to manage the preparation and submission of quarterly, half-year and annual financial statements.
- Ensure timely public disclosures in compliance with regulations.

**5. Shareholder management**
- Maintain and manage the company’s shareholder registry.
- Provide updated shareholder information to internal and external stakeholders as needed.

**Additional responsibilities**
- Reviewing and standardizing HR document templates.
- Developing and updating HR policies and procedures.
- Advising and coordinating on arising HR/FA-related issues.
- Review and provide legal advice on internal transactions.

**Yêu cầu**:

- Bachelor's degree in Law.
- Licensed to practice law in Vietnam.
- Proven experience in corporate governance, public company compliance, or a related field.
- Strong understanding of Vietnamese corporate and securities regulations.
- Excellent organizational and communication skills.
- Proficiency in English and Vietnamese (both written and verbal).
- Attention to detail and ability to manage multiple deadlines.
- At least 6 years of experience as in-house counsel.
