- Taking part in M&A process (draft and review of NDA, LOI, due diligence, Non-disclosure Agreement, Purchase or Sales Agreement, Loan Contract, Non-Compete Agreement, Capital Contribution Contract, Charter and others.);
- Analyze, evaluate and forecast the risks from the legal perspective for M&A deals to minimize disputes and risks, during the implementation of M&A activities and after the company merger.
- Providing legal assistance during all stages of the companies’ lifecycles (creation, registration of corporate changes, etc.) with assistance of outsourced services when needed;
- In charge of the investee’s license, certificates & IP rights; Review and provide advice and support for subsidiairies in terms of licensing as per request;
- Drafting or reviewing corporate legal documents (minutes of shareholders’ meetings, board of directors’ resolutions, capital transactions, share transfer agreements, shareholders’ agreements, delegation of authorities, powers of attorney, parent company guarantee, etc.) and any other related contractual document;
- Provide advice on corporate legal issues and business matters.
- Provide commercial legal support to all departmental projects and job functions.
- Research and update new laws and regulations relating to businesses and investments by preparing a monthly legal newsletter and communicate it throughout the company.
- Build templates for legal documents such as lease contract, service contract, legal memorandum, memorandum of understanding, principle contract,
- Compile, organize and archive legal documents of the company.
- Communicate and negotiate with external parties such as partners, contractors, landlords,when needed.
- Managing external and internal legal resources where required.
- Preferred experience in bussiness law, corporate governance, or internal audit

JOB REQUIREMENT

1. Knowledge
- Bachelor or higher degree in Law
- Law practicing license (highly preferred)
- Fluent in English. IELTS: 7.0

2. Relevant Experience
- Possess from 5 years of work experience, including M&A experience, at reputable law firms or Corporates, with perferable experience in corporate law, corporate governance or internal audit.
