I. GIỚI THIỆU

chúng tôi tìm kiếm In-House Legal Counsel phụ trách toàn diện công tác pháp lý của công ty

và các dự án thành viên.

  • Vị trí này sẽ chịu trách nhiệm xây dựng và quản lý hệ thống pháp lý, bao gồm: soạn thảo và

đàm phán hợp đồng thương mại, thiết lập và cập nhật chính sách sản phẩm, giám sát tuân thủ

về dữ liệu cá nhân, thương mại điện tử, thanh toán trực tuyến và nội dung người dùng. Ứng

viên sẽ làm việc trực tiếp với ban lãnh đạo và các phòng ban, đóng vai trò trung tâm trong việc

nhận diện rủi ro pháp lý, tư vấn giải pháp và bảo vệ lợi ích của công ty trong phạm vi toàn cầu.

II. MÔ TẢ CÔNG VIỆC

  1. Hợp đồng thương mại & giao dịch quốc tế

  2. Soạn thảo, rà soát, đàm phán hợp đồng: dịch vụ, quảng cáo, hợp tác, affiliate, đại lý, NDA.

  3. Xây dựng bộ mẫu hợp đồng chuẩn cho các công ty con tại VN (gia công phần mềm, nhân sự,

vận hành).

  • Rà soát điều khoản trong hợp đồng cross-border (luật áp dụng, thuế, dữ liệu, giải quyết tranh

chấp).

2. Pháp lý sản phẩm & nền tảng

  • Xây dựng, cập nhật các chính sách: Terms of Service, Privacy Policy, Content Guidelines,

Ads & Affiliate Terms.

  • Kiểm soát chính sách về nội dung UGC, review, quảng cáo tài trợ, affiliate marketing.

  • Đảm bảo UX/UI có thông báo rõ ràng: consent dữ liệu, cookie, nhãn "sponsored/verified".

  • Dữ liệu cá nhân & bảo mật

  • Đảm bảo tuân thủ PDPA (Singapore), Nghị định 13 (VN), và các chuẩn quốc tế

(GDPR/CCPA).

  • Thiết lập cơ chế xử lý yêu cầu dữ liệu (DSAR), báo cáo vi phạm, quản lý lưu trữ.

  • Soạn & quản lý Data Processing Agreements (DPA) với vendor: cloud, PSP, tool marketing.

  • Thanh toán trực tuyến & thương mại điện tử

  • Quản lý hợp đồng với PSP (Stripe, PayPal, ví điện tử).

  • Xây dựng chính sách giá, hoàn tiền, chargeback, thuế/GST.

  • Theo dõi tuân thủ AML/KYC ở mức thương nhân.

  • Quản trị nội dung & rủi ro UGC

  • Thiết lập quy trình xử lý nội dung: báo cáo, gỡ bỏ, kháng nghị.

  • Quản lý tranh chấp về defamation, bản quyền, thông tin sai sự thật.

  • Phối hợp vận hành trong moderation, review/ads disputes.

  • Pháp lý nội bộ & nhân sự

  • Soạn hợp đồng giữa công ty mẹ – công ty con (Singapore Việt Nam).

  • Soạn hợp đồng giữa các công ty con VN (gia công phần mềm, vận hành).

  • Soạn hợp đồng lao động, NDA, NCA cho nhân viên.

  • Quản lý hồ sơ pháp nhân, nghị quyết, điều lệ, giấy phép TMĐT.

  • Tuân thủ & chiến lược pháp lý

  • Theo dõi thay đổi luật VN, Singapore, quốc tế: TMĐT, quảng cáo, dữ liệu, viễn thông.

  • Làm việc với cơ quan quản lý và tư vấn luật.

  • Đóng góp định hướng pháp lý khi mở rộng sang thị trường mới.

III. YÊU CẦU

  • Cử nhân Luật (ưu tiên LL.M).

  • Tối thiểu 3 năm kinh nghiệm pháp chế in-house hoặc công ty luật, đặc biệt trong

startup/tech/e-commerce.

  • Thành thạo tiếng Anh – Việt, kỹ năng soạn thảo hợp đồng song ngữ.

  • Hiểu luật dữ liệu cá nhân, thương mại điện tử, quảng cáo, bảo vệ người tiêu dùng.

  • Có kinh nghiệm thực tế với hợp đồng cross-border, online payments, UGC.

IV. KỸ NĂNG & TÍNH CÁCH

  • Soạn thảo & đàm phán hợp đồng sắc bén.

  • Phân tích & đưa ra giải pháp thực tiễn.

  • Chủ động, linh hoạt, đa nhiệm.

  • Giao tiếp tốt, có thể giải thích vấn đề pháp lý phức tạp cho team phi pháp lý.

V. CHẾ ĐỘ VÀ QUYỀN LỢI

VI. THỜI GIAN LÀM VIỆC

-Khối nhân viên full time: Từ thứ 2 đến thứ 6, đăng ký chọn thời gian làm việc theo 02 ca như sau:

Ca 1: Sáng từ 8h00 đến 11h30 - Chiều từ 13h00 - 16h30

Ca 2: Sáng từ 9h00 đến 11h30 - Chiều từ 13h00 - 17h30
