**Main Responsibilities**

We are currently looking for a senior M&A lawyer to join our M&A Practice Group to work on a variety of transactions across a range of industries.
- Advise on large-scale, complex cross-border Vietnam and other corporate transactions for multiple clients (including private equity clients, national and multinational corporations, regional funds, and corporate conglomerates).
- Draft and negotiate key transaction documents, lead due diligence and disclosure exercises, and manage closings with other team members. Manage projects to a budget and take responsibility for providing a high level of client service.
- Advise on various transaction documents such as shareholders' agreements, joint venture agreements, share sale and purchase agreements, and ancillary documentation.
- Develop relationships with clients by gaining a good knowledge of their businesses, economic drivers, market, and sector requirements to ensure advice is relevant and commercial.
- Given regular and direct contact with clients, with a culture based on associates being given the level of responsibility they are ready for, rather than a PQE-based method of work allocation
- Work as part of a team, including assisting with supervising junior lawyers' work and taking an active role in sharing knowledge and experience.
- Advise on Vietnam foreign investment regulations and licensing processes.
- Engage in business development activities and be active in promoting the firm and seeking opportunities for new work principally through supporting the Partners team.
- Experience in capital raisings, initial public offerings, underwriting, as well as corporate advisory.

**Key Skills and Experience Required**
- A qualified lawyer with excellent academic credentials and a minimum of 5-8 years of PQE.
- Current experience in the Corporate/Mergers & Acquisitions department of a leading firm.
- First-rate technical skills needed to support the client work of the department.
- Excellent written and spoken English communication skills.
- Experience in and strong understanding of corporate transactions.
- Commerciality and demonstrable business development experience.
- Strong focus on client service. Develop and manage strong client relationships.
- Maturity, gravitas, and emotional intelligence. High work standards.
- Ability to work well in both a team and individually.
- Values and thrives in a diverse work environment.
- Good resilience under pressure.
