_Copenhagen Infrastructure Service Company (CISC) - a company working exclusively for the global fund management company Copenhagen Infrastructure Partners (CIP), is currently looking for a Senior Legal Counsel to join the team in Hanoi, Vietnam._

**The role**

CIP has very ambitious growth plans globally and in Asia over the coming years and expects to have EUR 100bn under management by 2030 making it one of the largest renewable infrastructure funds in the world.

CIP has identified Vietnam as a target market in Asia Pacific and is already developing a number of offshore wind sites - these will not be part of the CISC Vietnam development team’s scope, as such team will focus on onshore projects. CIP has significant plans for the country and intends to develop onshore renewable energy projects such as solar and wind, storage, and potential power to X projects.

CISC (an affiliate of CIP) will take on “owner’s responsibility” for supporting originating, as well as developing and executing CIP’s onshore renewable energy projects on-the-ground in Vietnam. A team of talented commercial, legal and project management professionals will be required to support this. The Legal Counsel will be an important member of the development team focusing on onshore renewable power projects. This is in parallel to the existing team based in Hanoi and focusing on offshore wind development.

Referring to the CISC VN Business Development Director, you will become part of a constantly growing team. We will seek to constantly support and inspire you, while focusing on your learning and personal development.

**Responsibilities will further consist of**:

- **Corporate**: manage company secretarial work, corporate documentation, and shareholder reporting;
- **Compliance**: ensure compliance with statutory regulations, regular reports, filings and other formalities; implement CIP policies on project level; conduct internal trainings; manage grievance process; support HSE and labour law compliance; monitor overall ESG performance;
- **Project Development**: support project development work from legal and contractual perspective and provide advice on development, permitting and consenting strategy for projects;
- **Transaction support**: support legal due diligence process, M&A transaction and funding structuring;
- **Partnership contracts**: support project team in partnership discussions; draft, review and negotiate transaction documents including term sheets, SHA, SPA, DSA, JDA etc. with partners;
- **Project contracts**: draft, review, negotiate and manage relevant project contracts, including OMA, service agreements, etc.;
- **Procurement**: work with project team on procurement of suppliers, including draft and review supplier contracts, including EPC, TSA, etc. and identify local law issues, and negotiation with suppliers;
- **Regulatory**: support consent, permit works, including survey license, PPA template and negotiation, land use rights, etc.;
- **Project Finance**: support project finance transactions from legal, structuring and contractual perspectives, including bank term sheets, finance documents, security package, etc.;
- **Dispute**: manage disputes (if any) and coordinate with external counsels on disputed matters;
- **Others**: manage local external counsels; coordinate with international external counsels and CISC/CIP HQ legal and compliance team.

**Main Interfaces / stakeholders**:

- CISC VN Business Development Director
- Close interface with CIP Deal & Investment Management Teams
- Vietnam licensed attorney with solid legal knowledge and 7 to 10 years of experience practicing law in reputable law firms and/or in-house positions.
- Expertise in corporate, regulatory and compliance matters is crucial to this role; experience in renewable energy and M&A transactions is preferable.
- Strong analytical, technical legal and drafting skills (contractual drafting, internal memos, presentations); strong commercial mindset; good sense of ownership and accountability; capability to navigate through legal uncertainties and providing pragmatic business-oriented advice.
- Strong inter-personal skills; exceptional written and verbal communication skills in English and Vietnamese; capable of teamwork and building trust.
- Being the problem solver internally for various legal (and quasi-legal) issues and protecting the company’s interests when engaging with external stakeholders.
