  • Identify potential areas of compliance vulnerability and risk and develop/implement corrective action plans.
  • Management of legal process systems (contract management system, contracts management policy, CVM, compliance approvals etc.).
  • Manage the biyearly corporate and litigation reporting to headquarters, company secretarial matters, understanding and advising on local corporate law requirement and advocating strong internal governance.
  • Ensure collaborative objectives are achieved with various internal stakeholders in relation to internal audit, internal control, risk management, process improvement and efficiency.
  • Lead the management of legal and compliance disputes, crisis, conflicts with consumers, government/enforcement authorities, competitors and/or other stakeholders.
  • Manage, draft and negotiate all complex business contracts including sales and distribution contracts, services agreement, and/or any other commercial contracts as required by the MBU.
  • Provide strategic legal and compliance vision and advise to enable achievement of strategic business objectives.
  • Deploy and conduct training at local level Danone Corporate Compliance policies, to develop and strategize communication of compliance program and processes across the MBUs.
  • Lead in the annual drive to implement an effective compliance program within MBUs.


Anticipate and evaluate emerging compliance trends, anticipation of legal developments and continuously improving and strengthening the compliance culture within MBUs.


  • Responsible to consistently communicate and socialize Danone Ethics Line (whistleblowing channel) to various stakeholders (internally and externally).
  • Accountable as the Business Process Owner on designated internal control topics and contribute to internal compliance audits and/or conduct quarterly monitoring on Danone Corporate Compliance/Healthcare Systems Policy to identify areas of vulnerability, opportunities and risks.
  • As Local CO of Vietnam, Cambodia & Myanmar the role includes becoming a spokesperson on various Healthcare Compliance topics, to disseminate sound legal and compliance advise to the Healthcare Nutrition Department and other stakeholders. Ensure transactions are reviewed, approved and registered in accordance to the Healthcare System Compliance Policy & Directive, or it's related standard operating procedures, and to continuously monitor, audit transactions and review the policies effectiveness periodically.
  • Responsible to support ISEA Compliance Officer in internal investigations related to compliance policies.
About you

  • Bachelor Degree in Law/Legal.
  • Advocate & Solicitor / Legal Practitioner (or equivalent) admitted to the Vietnam Bar Association.
  • Minimum PQE 710 years in a Vietnam legal firm or as an inhouse counsel in FMCG industry.
  • Business acumen, ability to multi task and experience in handling complex projects.
  • Maintain high level of expertise & empowerment in legal & compliance team.
  • Ability to lead junior legal manager(s), driving efficiency and people development.
  • Proven ability in multitasking, prioritizing workload, high attention to detail, meticulous, followthrough and accuracy.
  • Understanding the technical knowledge in FMCG business and requirement.
  • Collaborative mindset and attitudes.
  • Strong interpersonal communication and negotiation skill.
  • Ability to prioritize and lead action plan with pragmatism.
  • Ability to lead and develop a high performing team of professionals.
  • Experience and knowledgeable on various complex areas of Vietnam, Cambodia and Myanmar laws.
  • Policy review, improvement and drafting skills, ability to develop complex legal/policy templates for the MBU or implementation at regional level.
  • Contract management drafting, reviewing, negotiation of highly complex and contested agreement.
